Terms of Service
1. Agreement to Terms
By accessing or using the services provided by Meraki Kitchen LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
These terms constitute a legally binding agreement between you (the "Client") and Meraki Kitchen LLC.
2. Services Offered
Meraki Kitchen LLC provides professional web design, branding, and digital services for catering and events companies, including but not limited to:
- Website design and development
- Brand identity and logo design
- E-commerce solutions
- Search engine optimization (SEO)
- Digital marketing consultation
Specific services, deliverables, timelines, and pricing are outlined in individual project proposals and agreements.
3. Project Engagement
3.1 Proposals and Agreements
All projects begin with a detailed proposal outlining scope, deliverables, timeline, and costs. Work commences upon client acceptance of the proposal and receipt of initial payment.
3.2 Client Responsibilities
Clients are responsible for:
- Providing timely feedback and necessary materials
- Ensuring all provided content is accurate and legally compliant
- Making timely payments as agreed
- Responding to requests within reasonable timeframes
3.3 Timeline and Delays
Project timelines are estimates based on prompt client feedback and approval. Delays caused by client inaction, late feedback, or additional requests may extend project timelines without penalty to the Company.
4. Payment Terms
4.1 Pricing and Invoicing
Project costs are specified in individual proposals. All prices are quoted in the agreed currency (USD, AED, GHS, etc.) and are exclusive of applicable taxes unless otherwise stated.
4.2 Payment Schedule
Standard payment terms are:
- 50% deposit due upon project commencement
- 50% balance due upon project completion before final delivery
Custom payment schedules may be arranged for larger projects.
4.3 Late Payments
Invoices are due within 7 days unless otherwise specified. Late payments may result in:
- Suspension of work until payment is received
- Late fees of 5% per month on overdue amounts
- Withholding of project files and deliverables
4.4 Refund Policy
Deposit payments are non-refundable once work has commenced. If the Client cancels a project mid-stream, payment is due for all work completed to date, plus any third-party costs incurred.
5. Intellectual Property Rights
5.1 Client Ownership
Upon receipt of final payment, the Client receives ownership of the final approved deliverables, including:
- Website design and code
- Custom graphics and images created for the project
- Brand assets and logos
5.2 Company Rights
The Company retains:
- Rights to use project work in our portfolio and marketing materials
- Ownership of preliminary designs and concepts
- Reusable code components, frameworks, and tools
5.3 Third-Party Assets
Some projects may include third-party fonts, stock images, plugins, or software. Clients are responsible for obtaining necessary licenses for these assets, unless otherwise arranged.
6. Revisions and Changes
Each project includes a specified number of revision rounds (typically 2-3) as outlined in the proposal. Additional revisions beyond the agreed scope may incur additional fees.
Major scope changes or additions after project commencement will be quoted separately and may extend project timelines.
7. Website Hosting and Maintenance
Unless included in a specific service package, website hosting, domain registration, and ongoing maintenance are the Client's responsibility.
We can recommend hosting providers and offer optional maintenance packages for a separate fee.
8. Warranties and Disclaimers
8.1 Quality Commitment
We commit to delivering professional, high-quality work that meets industry standards and the agreed specifications.
8.2 Limitation of Warranties
Services are provided "as is" without warranty of any kind. We do not guarantee:
- Specific business results, traffic, or revenue outcomes
- Search engine rankings or SEO performance
- Compatibility with all future browsers or devices
- Uninterrupted or error-free operation of websites
8.3 Client Content
Clients warrant that all content, images, and materials provided do not infringe on any third-party rights and are legally compliant. We are not responsible for content accuracy or legal compliance.
9. Limitation of Liability
To the maximum extent permitted by law, Meraki Kitchen LLC shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, revenue, or business opportunities
- Data loss or corruption
- Third-party claims arising from client content
Our total liability for any claim shall not exceed the total fees paid by the Client for the specific project in question.
10. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the project. This obligation continues after project completion.
We will not disclose client business strategies, private data, or sensitive information without permission, except as required by law.
11. Termination
11.1 Termination by Client
Clients may terminate a project at any time with written notice. Upon termination:
- Payment is due for all work completed to date
- Deposit is non-refundable
- Client receives files for work paid for, but not final deliverables
11.2 Termination by Company
We reserve the right to terminate a project if:
- Payment terms are not met
- Client fails to provide necessary materials or feedback
- Client breaches these terms
- Project becomes unfeasible
12. Dispute Resolution
Any disputes arising from these terms or our services shall first be addressed through good faith negotiation between the parties.
If negotiation fails, disputes shall be resolved through binding arbitration in Sheridan, Wyoming, USA, under the rules of the American Arbitration Association.
13. Governing Law
These Terms of Service are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.
14. Changes to Terms
We reserve the right to modify these terms at any time. Updated terms will be posted on this page with a revised "Last updated" date. Continued use of our services constitutes acceptance of modified terms.
Existing projects are governed by the terms in effect at the time of project commencement.
